CONSENT ORDER








On June 8, 2005, the United States filed an amended complaint under the Americans with Disabilities Act (“ADA”) alleging that the Regal Entertainment Group, Regal Cinemas, Inc. and Hoyts Cinemas Corporation (“Hoyts”) (collectively, together with all their affiliates and assigns including, but not limited to, Regal Entertainment Holdings, Inc., Regal Cinemas, Inc., Eastgate Theatres Inc., Act III Theatres Inc., Edwards Theatres, Inc., and all their affiliates and assigns, “Regal”) engaged in a nationwide pattern and practice of designing, constructing, and/or operating stadium-style movie theatre complexes that deny access to persons with disabilities who use wheelchairs and do not comply with the new construction standards of the ADA, including the line of sight requirements identified in 28 C.F.R. pt. 36, App. A, § 4.33.3. Regal has at all times denied any violation of law and nothing in this Consent Order constitutes an admission by Regal of any violation under Title III of the Americans with Disabilities Act, its enabling regulations, or of any of the allegations made by the United States in this lawsuit. The United States recognizes that Regal has cooperated and demonstrated a commitment to providing persons with disabilities who use wheelchairs equal access to Regal’s stadium-style movie theatre complexes. The United States and Regal present the following Consent Order and partial final judgment, which fully resolves the United States’ claims as stated in the Amended Complaint against Regal.


JURISDICTION

A. The Court has jurisdiction of this matter pursuant to 28 U.S.C. §§ 1331 and 1345, and 42 U.S.C. § 12188(b).

B. Pursuant to 42 U.S.C. § 12181(7)(C) and 28 C.F.R. § 36.104, motion picture houses are places of public accommodation. Stadium-style movie theatre complexes, defined below, are therefore places of public accommodation within the meaning of 42 U.S.C. § 12181(7)(C) and 28 C.F.R. § 36.104.


PRELIMINARY MATTERS

A. Regal Entertainment Group, Regal Cinemas, Inc., and Hoyts Cinemas Corporation are corporations with their principal places of business located in Knoxville, Tennessee. Regal owns, leases, and/or operates motion picture theatre complexes, including stadium-style movie theatre complexes, in various states throughout the United States under the “Regal Cinemas,” “Edwards Theatres,” and “Signature Theatres” brand names. Regal owns and operates places of public accommodation within the meaning of 42 U.S.C. § 12181(7)(C) and 28 C.F.R. § 36.104.

B. The United States Department of Justice (“Department” or “DOJ”) is the federal agency responsible for administering and enforcing Title III of the Americans with Disabilities Act, 42 U.S.C. §§ 12181-12189.

C. Pursuant to Title III of the ADA, all places of public accommodation - including Regal’s stadium-style movie theatre complexes – that were designed and constructed for first occupancy after January 26, 1993, must be readily accessible to and useable by persons with disabilities by complying with the requirements set forth in the ADA Standards for Accessible Design, 28 C.F.R. pt. 36, Appendix A (the “ADA Standards”).

D. In the mid-1990s, the Department began receiving complaints from persons with disabilities regarding a new design of movie theatres across the country, including movie theatres owned, leased, and/or operated by Regal, known as “stadium-style movie theatres,” in which most of the seating is elevated on a series of risers in the auditorium.

E. In Regal’s auditoria with more than 300 seats, patrons may use elevators or cross-aisles to access some of these seats on risers. In some of Regal’s auditoria with 300 seats or less, persons who use wheelchairs cannot access the seating on risers as the wheelchair spaces available to them are located on the traditional, sloped-floor section of the auditoria in front of the seating on risers. Some complainants who use wheelchairs informed the United States that the wheelchair spaces available to them in such auditoria were too close to the screen and caused physical discomfort.

F. The Department conducted compliance reviews and investigations at these and other Hoyts and Regal theatre complexes and has asserted that certain theatre complexes did not comply with the ADA and the ADA Standards. The Department has further asserted that certain auditoriums did not provide integrated seating for the wheelchair spaces and did not provide lines of sight at wheelchair spaces that were comparable to those offered to most members of the general public. Regal disputes and disagrees with these assertions.

G. Prior to litigation, the Department entered into negotiations with Hoyts in an ongoing attempt to resolve these issues, but the parties were unable to reach an agreement. Hoyts disagreed with the Department’s conclusions and asserted its belief that its auditoriums complied with the ADA.

H. On December 18, 2000, the Department filed a complaint against Hoyts in the United States District Court for the District of Massachusetts to enforce compliance with the requirements of Title III of the ADA. In this lawsuit, the United States alleged that Hoyts, as well as another theatre-defendant, committed a pattern or practice of discrimination in violation of Title III of the ADA by (1) failing to design and construct its stadium-style movie theatre complexes so as to provide persons who use wheelchairs with a choice of seating locations and lines of sight comparable to those provided to members of the general public; and (2) failing to provide persons with disabilities equal access to the choices, benefits, and services available at its stadium-style movie theatre complexes. Count II of the DOJ’s complaint was dismissed by Opinion and Order dated August 22, 2001.

I. Regal denies the allegations in the United States’ complaint and the amended complaint. Hoyts filed affirmative defenses alleging, among other things, that the DOJ acted unlawfully by attempting to retroactively change the meaning and interpretation of ADA Standard 4.33.3, that the DOJ failed to comply with the Administrative Procedures Act in promulgating, announcing, and attempting to enforce its interpretation of Standard 4.33.3, and that the DOJ’s interpretation illegally deprived Hoyts of due process.

J. Two years prior to the filing of the above-captioned lawsuit, Hoyts was sued by two private plaintiffs in the United States District Court for the Northern District of New York in an action styled Meineker v. Hoyts Cinemas Corp., 98 CV 1256 (N.D.N.Y., filed September 24, 1998) (“Meineker”). The private plaintiffs allege that Hoyts failed to construct the Crossgates 18 stadium-style theatre complex, located in Guilderland, NY, in compliance with the requirements of Title III of the ADA. Specifically, the private plaintiffs allege that Hoyts discriminated against persons with disabilities in violation of Title III of the ADA by: (1) failing to design and construct its stadium-style movie theatre complexes so as to provide persons who use wheelchairs with a choice of seating locations and lines of sight comparable to those provided to members of the general public; and (2) failing to provide persons with disabilities equal access to the choices, benefits, and services available at its stadium-style movie theatre complexes. Hoyts denied the allegations in the private plaintiffs’ complaint. In August 2002, the district court granted Hoyts’s motion for summary judgment and held that the wheelchair and companion seating at the Crossgates 18 stadium-style theatre complex complied with Section 4.33.3 of the ADA Standards. The private plaintiffs appealed this summary judgment ruling. On July 1, 2003, the United States Court of Appeals for the Second Circuit issued a summary order vacating the district court’s judgment and remanding the action for additional factual development and motions practice.

K. On January 30, 2004, the DOJ filed a Complaint in Intervention in the Meineker Action, also alleging, inter alia, that Hoyts had failed to construct the Hoyts Crossgates stadium-style complex in compliance with the requirements of Title III of the ADA by failing to design and construct its stadium-style movie theatre complexes so as to provide persons who use wheelchairs with a choice of seating locations and lines of sight comparable to those provided to members of the general public. The United States also added Regal Entertainment Group and Regal Cinemas, Inc. as defendants in the action because, as set forth below, Hoyts had by that time been acquired by Regal Entertainment Group and Regal Cinemas Inc.

L. Also prior to the filing of this lawsuit, Regal Cinemas, Inc., and Eastgate Theatre Inc. d/b/a Act III Theatres, Inc. were sued by private plaintiffs Kathy Stewmon, Tina Smith and Katy Brady in Oregon Paralyzed Veterans of America v. Regal Cinemas Inc., No. CIV. 00-485-KI. (D. Org., filed April 2000) (“Stewmon”), which alleged that certain Regal stadium-style theatres in Northern Oregon violated Title III of the ADA. Regal denied the allegations in the Stewmon complaint. In April 2001, the district court issued an order granting the theatre-defendants’ motion for summary judgment and held, inter alia, that the wheelchair seating locations at the challenged theatres did not violate Section 4.33.3 of the ADA Standards. The private plaintiffs filed a timely notice of appeal with the United States Court of Appeals for the Ninth Circuit. The United States was subsequently permitted to file a brief as amicus curiae supporting the appellants. On August 13, 2003, the Ninth Circuit issued a decision reversing the district court’s summary judgment ruling and remanding the action with instructions to enter summary judgment in favor of the private plaintiffs on their ADA claim.

M. On March 27, 2003, Regal Entertainment Group and Regal Cinemas, Inc. acquired all the stock of Hoyts. As a result of this transaction and others, a Regal affiliate became the owner or lessor of many of the Hoyts stadium-style movie theatre complexes that had been the subject of the claims in this action.

N. On March 31, 2003, this Court entered an order denying the theatre-defendants’ motion for summary judgment and granting summary judgment sua sponte in favor of plaintiff United States. This Court held that, while the theatre-defendants (including Hoyts) violated the ADA by failing to locate wheelchair seating within the Stadium Sections of their respective theatre complexes, the only theatre complexes requiring retrofitting were those theatre complexes constructed or refurbished after the filing date of the United States’ complaint. All parties filed timely notices of appeal with the United States Court of Appeals for the First Circuit.

O. On August 20, 2004, the First Circuit issued a decision vacating the district court judgment and remanding the action back to this Court for further proceedings consistent with the First Circuit’s decision. See U.S. v. Hoyts Cinemas Corp., 380 F.3d 558 (1st Cir. 2004).

P. On June 8, 2005, the United States moved for leave to file an Amended Complaint adding Regal Entertainment Group and Regal Cinemas, Inc. as party-defendants in this action. In addition, this Amended Complaint extends the scope of this action to cover all stadium-style theatre complexes owned, leased, and/or operated by Regal in the United States with the exception of theatre complexes operated under the “United Artist Theatres” brand name. These United Artist Theatres are covered by separate consent decrees entered in the action filed in United States District Court for the Northern District of California styled, Arnold v. United Artists Theatre Circuit, Inc., Case No. 93-0079 THE.

Q. As a result of ongoing discussions, Hoyts, Regal, and the Department of Justice (hereinafter collectively referred to as the “Parties”) have reached agreement that it is in the Parties’ best interests, and the Department believes that it is in the public interest, to resolve this lawsuit on mutually agreeable terms without further litigation.

WHEREFORE, the Parties agree and stipulate to the Court’s entry of this Consent Order and final judgment, which provides as follows:

1. Definitions
The Parties agree and stipulate that certain terms shall be defined for purposes of this Consent Order:

1.1 “ADA” shall mean and refer to the Americans with Disabilities Act, 42 U.S.C. §§ 12101, et seq.

1.2 “ADA-mandated wheelchair spaces” or “ADA-mandated wheelchair seats” shall mean and refer to the number of required wheelchair spaces within public assembly areas as set forth in 28 C.F.R. pt. 36, Appendix A, § 4.1.3(19)(a).

1.3 “ADA Standards” or “Standards” shall mean and refer to the new construction standards as set forth at 28 C.F.R. pt. 36, Appendix A.

1.4 “Applicable Provisions” means any and all federal statutes, codes, regulations and other legislation applicable to any Requirements, including, without limitation, sections 302 and 303 of the ADA, section 4.33.3 of the ADA Standards, and sections 221 or 802 of the ADA and ABA Accessibility Guidelines published in the Federal Register on July 23, 2004.

1.5 “Auditorium” shall mean and refer to a room in a stadium-style movie theatre complex that contains a single screen for the public exhibition of motion pictures and seating for members of the general public.

1.6 “Companion seat” or “companion seating” shall mean and refer to a fixed seat within an Auditorium, which is immediately adjacent to a wheelchair space.

1.7 “Consent Order” or “Order” shall mean and refer to this Consent Order and Final Judgment, including all attached appendices.

1.8 “Cross-Aisle” shall mean and refer to any level pathway between sections of seats that is parallel to the theatre screen, regardless of whether such pathway is located within the Traditional Seating section, on stadium risers, or is part of the stadium seating plan.

1.9 “Designated Neighborhood Theatre” shall mean and refer to the one or more Regal Stadium-Style movie theatre complex(es) in each Regal Neighborhood which have been designated in accordance with the terms of Sections 4.2 or 5.1. A full and complete list of Designated Neighborhood Theatres is attached as Appendix 4 to this Consent Order.

1.10 “Designed Theatres” shall mean and refer to those Regal Stadium-Style Theatre complexes for which designs have been completed and submitted to the Justice Department as of the Effective Date of this Consent Order. A full and complete list of the Designed Theatres is attached as Appendix 6 to this Consent Order.

1.11 “DOJ” or the “Department” shall mean and refer to the United States Department of Justice.

1.12 “Effective Date” of this Consent Order shall mean and refer to the date that this Consent Order is entered as a final judgment by the United States District Court for the District of Massachusetts.

1.13 “Existing Theatres” shall mean and refer to any and all Regal’s stadium-style movie theatre complexes in the United States that are currently open to the public and that are operating under the “Regal Cinemas,” “Edwards Theatres, “ “Signature Theatres,” or “R/C Theatres” brand names. For purposes of this Consent Order, Existing Theatres include: Former Hoyts Theatres; Designated Neighborhood Theatres; Neighborhood Theatres; and Theatres Without Neighbors. Existing Theatres do not include stadium-style theatre complexes operated by Regal as “United Artist Theatres” which are covered by separate consent decrees entered in the action styled Arnold v. United Artists Theatre Circuit, Inc., Case No. 93-0079 THE (N.D. Cal.). A full and complete list of Existing Theatres covered by this Consent Order is attached as Appendix 1 to this Order.

1.14 “Former Hoyts Theatres” shall mean and refer to the Auditoriums within the twenty (20) stadium-style theatre complexes that were formerly owned by Hoyts and which are now owned, operated and/or leased by a Regal affiliate. A full and complete list of Former Hoyts Theatres covered by this Consent Order is attached as Appendix 2 to this Order.

1.15 “Future Construction Theatre” shall mean and refer to Regal’s stadium-style movie theatre complex in the United States that is not covered under the definition of “Existing Theatres,” “Newly Acquired Theatres” or “Designed Theatres” and for which a certificate of occupancy is obtained by Regal on or after the Effective Date of this Consent Order. However, the term “Future Construction Theatres” does not include any stadium-style theatre complexes operated by Regal as “United Artist Theatres” irrespective of the date on which a certificate of occupancy has been obtained by Regal since such theatres are covered by separate consent decrees entered in the action styled Arnold v. United Artists Theatre Circuit, Inc., Case No. 93-0079 THE (N.D. Cal.).

1.16 “Neighborhood” or “Regal Neighborhood” shall mean and refer to a general geographical area in a city or county within the United States in which two or more existing Regal stadium-style theatre complexes are within close proximity of each other. A full and complete list of Regal Neighborhoods as of the date of this Consent Order is attached as Appendix 3 to this Consent Order.

1.17 “Neighborhood Theatre” shall mean and refer to the one or more Regal stadium-style theatre complexes located within a Regal Neighborhood that have not been jointly identified by the Parties as a Designated Neighborhood Theatre.

1.18 “Newly Acquired Theatre” shall mean and refer to a movie theatre complex containing one or more Auditoriums with Stadium-style Seating that has been purchased, leased, or otherwise acquired by Regal from a third-party movie theatre chain or other non-Regal entity in an acquisition that is completed after the Effective Date of this Consent Order.

1.19 “Physically Impracticable” shall mean and refer to modifications, alterations, or seating relocations pursuant to the terms of this Consent Order within any Auditorium that would: (a) require demolition of all or a material portion of the concrete and/or steel structure forming the Stadium Section of a stadium-style Auditorium; or (b) result in a failure to provide an Unobstructed View of the screen for any patrons other than those seated in the row of seats located immediately behind the wheelchair seating. Physical Impracticability does not include less extensive modifications or alterations that do not materially affect all or a material part of the concrete and/or steel structure of the Stadium Section, such as: removal of fixed seats; demolition or extension of risers in front of the Stadium Section; or construction of ramps to the Stadium Section, except to the extent that such modifications or alterations require demolition of all or a material portion of the concrete and/or steel structure forming the Stadium Section of a stadium-style Auditorium.

1.20 “Regal” shall mean and refer collectively to Regal Entertainment Group and all its affiliates and assigns including, but not limited to, Regal Entertainment Holdings, Inc., Regal Cinemas, Inc., Hoyts Cinemas Corporation (“Hoyts”), Eastgate Theatres Inc., Act III Theatres Inc. , Edwards Theatres, Inc., and all their affiliates and assigns. For purposes of this Consent Order, and for the sake of clarity, Regal does include Hoyts but does not include Northeast Cinemas, L.L.C., National Amusements, Inc., or any of their affiliates or assigns.

1.21 “Requirements” means all requirements under the ADA or any regulation or code promulgated thereunder with respect to: (a) providing wheelchair spaces with lines of sight comparable to those for members of the general public in complete and full satisfaction of the requirements of ADA standard 4.33.3; (b) including wheelchair spaces as an integral part of the fixed seating plan, (c) satisfying applicable dispersion requirements; (d) providing disabled persons with the full and equal enjoyment of Auditoriums within Regal Stadium-Style Theater Complexes; (e) providing at least one companion fixed seat next to each wheelchair area; and (f) adjoining wheelchair spaces to an accessible route that serves as a means of egress in the case of emergency.

1.22 “Riser” shall mean and refer to an elevated tier of at least four inches in height with seats affixed to that tier.

1.23 “Small Auditorium” shall mean and refer to an Auditorium with seating for less than 150 patrons.

1.24 “Stadium-style seating,” “Stadium Section,” or “stadium seating” shall mean and refer to that portion of an Auditorium where the seats are affixed to Risers. Each row of stadium seating is elevated above the row immediately ahead of it and some or all of such seating is accessed by one or more flights of stairs or ramps. For purposes of this Consent Order, stadium-style seating excludes current or former IMAX auditoria.

1.25 “Theatre complex” or “Stadium-style theatre complex” shall mean and refer to a facility owned, operated, and/or leased by Regal that contains one or more Auditoriums with Stadium-Style Seating for the purpose of public exhibition of motion pictures.

1.26 “Theatre Without Neighbors” shall mean and refer to a Regal stadium-style theatre complex that is located outside the geographical boundaries of a Regal Neighborhood. A full and complete list of Regal Theatres Without Neighbors is attached as Appendix 5 to this Consent Order.

1.27 “Traditional,” “Sloped-floor,” or “Traditional Seating” shall mean and refer to the section of an Auditorium in which the seats are not affixed on Risers, but are instead affixed to a flat or sloped floor.

1.28 “Unobstructed view,” for purposes of this Consent Order, shall mean and refer to a view to the movie screen that is not blocked or interfered with by any seats, railings, seated persons, or other objects. Regal currently uses seated eye heights of 40 inches for patrons in fixed seating and 48 inches for patrons who use wheelchairs when calculating clearances over heads and other actual or potential obstructions between patrons and the movie screen. For purposes of this Order, Regal shall provide patrons who use wheelchairs and their companions with an unobstructed view to the bottom of the screen using these same seated eye height values.

1.29 “Wheelchair space,” “wheelchair location,” or “wheelchair seating” shall mean and refer to a designated space in an Auditorium where a person who uses a wheelchair or motorized scooter can situate him- or herself to view a motion picture in that Auditorium.

2. Settlement of On-Going Litigation

2.1 The United States and Regal agree to stipulation of the terms set forth herein and to entry of this Consent Order as a binding resolution of this litigation. The Parties further agree that this Consent Order shall extinguish all claims for relief between the United States and Regal. Nothing in this Consent Order shall prohibit Regal from using the arguments that form the basis of Regal’s denials, affirmative defenses, and counterclaims to defend itself in future litigation. Entry of this Consent Order brings certainty regarding Regal’s obligation concerning the placement and location of wheelchair spaces at all Existing Theatres (including without limitation all Former Hoyts Theatres, Designated Neighborhood Theatres, Neighborhood Theatres and Theatres Without Neighbors), Newly Acquired Theaters, Designed Theatres, and Future Construction Theatres, as defined in this Consent Order. By entering into this Consent Order, no Regal entity is consenting to personal jurisdiction in this District for any purpose other than enforcement of this Order.

2.2 This Consent Order shall be a full, complete, and final disposition and settlement of all of the claims between the Parties. It does not resolve the United States’ claims as to Stadium-Style Theatre Complexes currently owned, operated, and/or leased by Northeast Cinemas, L.L.C. or National Amusements, Inc. The United States’ Amended Complaint in Civil Action No. 00 CV 12567 (WGY) shall be dismissed in its entirety and final judgment entered with prejudice as between the United States and Regal, each Party to bear their own costs and attorney fees. Neither Party will seek any other form of recompense or sanctions other than as provided in this Consent Order.

2.3 The United States acknowledges and agrees that, when Regal completes the respective modifications, if any, set forth in Section 4 of this Consent Order for each Existing Theatre (including without limitation all Former Hoyts Theatres, Designated Neighborhood Theatres, Neighborhood Theatres, and Theatres Without Neighbors) and as set forth in Section 5 of this Order for each Newly Acquired Theatre, and when Regal opens Designed Theatres and Future Construction Theatres built in accordance with this Consent Order after the Effective Date of this Order, then each such theater complex shall, at the time its respective modifications are completed, or upon the entry of this Consent Order if no modifications to such theater complex are required by this Consent Order, satisfy the Department's demands regarding placement of wheelchair and companion spaces in Regal’s Stadium-Style theatres. The Department shall not pursue further enforcement of the ADA or its regulations with respect to the location of wheelchair spaces at the theatres that comply with this Order. The DOJ agrees that all Existing Theatres, Newly Acquired Theatres, Designed Theatres and Future Construction Theatres that comply with the provisions of this Order will be deemed to satisfy the Requirements. As to all Existing Theatres, Newly Acquired Theatres, Designed Theatres and Future Construction Theatres, no modifications other than those specified in this Order shall be necessary to comply with any Applicable Provisions.

2.4 The United States shall be prohibited from filing suit against Regal for alleged violations of any Applicable Provisions or Requirements with respect to any Existing Theatres or Newly Acquired Theatres that comply with this Consent Order, as well as any Designed Theatres or Future Construction Theatres that are designed and constructed in accordance with this Consent Order. In the event that there are changes in the legal requirements governing the wheelchair seating locations in assembly areas (including Stadium-Style Theatre Complexes), including modification of the Department’s regulations implementing Title III of the Americans with Disabilities Act (currently codified at 28 C.F.R. Part 36 and Appendix A), Regal shall thereafter construct any new theatre complexes in compliance with whatever new or different design requirements are adopted, enacted, or held to be binding. This Consent Order shall be a full, complete, and final disposition and settlement of all of the claims between the Parties. The United States’ Amended Complaint in Civil Action No. 00 CV 12567 (WGY) shall be dismissed in its entirety, and final judgment entered with prejudice upon entry of this Consent Order by the Court.

2.5 In any third-party litigation involving Regal’s Stadium-Style Theatre Complexes, the United States shall not advocate a position that contradicts or calls into question the terms of this Consent Order. Without limiting the generality of the foregoing, the Department agrees to take all steps necessary to dismiss its intervention complaint in Meineker with prejudice immediately after the Effective Date of this Order.

2.6 Except as permitted by Sections 7.4 and 9.3, the United States shall be prohibited from filing suit, from encouraging others to file suit, or assisting others in filing or pursuing suits against Regal on any issue or claim addressed in this Consent Order, except nothing in this Consent Order precludes the Department of Justice from providing technical assistance through the Department of Justice ADA Information Line and all parties agree that such information may be provided by the Department of Justice to third parties by that means without limitation. Except as permitted in Sections 7.4 and 9.2, the United States shall not investigate Regal for alleged violations of any Requirements or any Applicable Provisions.

3. General Requirements for All Existing, Newly Acquired, Designed, and Future Construction Stadium-Style Auditoriums

3.1 Unobstructed View of the Screen
All ADA-mandated wheelchair spaces must provide an Unobstructed View to the screen, as defined in § 1.28 of this Order. If a modification to an Existing Theatre or Newly Acquired Theatre made pursuant to this Order results in an obstructed view for the patrons who use wheelchairs or their companions in the Auditorium, Regal shall make further modifications as necessary to eliminate the obstruction.

3.2 Companion Seating
Any Regal Stadium-Style Theatre complex modified, altered, or constructed pursuant to the terms of this Order shall have at least one companion fixed seat provided adjacent to each ADA-mandated wheelchair space (i.e. - 1:1 ratio). ADA-mandated wheelchair spaces and companion seats shall also be located on the same floor level as other seats in the same row; they shall not be higher or lower relative to each other.

3.3 Wheelchair Spaces Not Permitted in First Row
Except as expressly provided by this Order, no ADA-mandated wheelchair space shall be located in the front row closest to the screen at any Existing, Newly Acquired, Designed, or Future Construction Theatre. Regal shall remove wheelchair and companion seats from the front row and relocate these seats no closer to the screen than the last row of the traditional (non-stadium) seating section. If such relocation is Physically Impracticable because of the size or configuration of the Auditorium or for some other reason(s), these wheelchair and companion seats shall be relocated as far from the screen as practicable along an accessible route.

3.4 Relocation Priority of Wheelchair and Companion Seats
When, under the terms of this Order, Regal is required to modify, alter, or relocate fewer than all of the ADA-mandated wheelchair spaces in any Stadium-Style Auditorium, Regal shall select wheelchair spaces located closest to the screen relative to other wheelchair spaces in that Auditorium for the required work. If all ADA-mandated wheelchair spaces are currently located an equal distance from the screen, Regal may select at its discretion which wheelchair spaces will be relocated or modified pursuant to this Order. All other ADA-mandated wheelchair spaces in that Auditorium may remain unmodified where they are currently located so long as such spaces otherwise comply with §§ 3.1 – 3.3 of this Order.

3.5 Elimination and Replacement of Wheelchair and Companion Seats
When, under the terms of this Order, Regal is required to perform alterations or modifications that result in the elimination of one or more ADA-mandated wheelchair seats (i.e. - construction of a ramp), such seats shall be replaced at a location no closer to the screen than the last row of the traditional (non-stadium) seating section. If the size or configuration of an Auditorium makes such relocation Physically Impracticable, these wheelchair seats shall be replaced at a location as far from the screen as practicable along an accessible route.

3.6 Delays or Modifications Caused by City, State or Local Authorities
Regal will make reasonable good faith efforts to obtain permits and authorizations including, without limitation, building permits and certificates of occupancy that may be required under local law, ordinance, or other applicable law in order to accomplish the modifications Regal is required to make under this Consent Order. If a city or other applicable state or local authority does not provide the permits or authorizations in a timely manner, and such delay impacts Regal’s ability to make any of the modifications set forth in the Consent Order within any of the time periods set forth herein, the applicable time period(s) for Regal to make the modification(s) at issue shall be automatically extended by the period of the delay. Regal shall notify the Department of such delay and the reasons therefore. If a city or other applicable state or local authority refuses to provide permits or authorizations needed to accomplish any modification required under this Consent Order, or conditions the issuance of any such permit or authorization on Regal’s making modifications in addition to those required by the Consent Order, Regal’s obligation to make the modification(s) will be suspended while Regal and DOJ meet in a good faith effort to agree on a comparable substitute modification(s) that shall not result in costs in excess of 15%, adjusted for inflation, over the contract cost of the changes contemplated by the modifications set forth in this Consent Order, and shall not result in seat loss in excess of 10% greater than that contemplated in this Consent Order.

3.7 Additional Wheelchair Spaces
Nothing in this Consent Order shall limit the placement of any additional wheelchair spaces required by state or local codes beyond those mandated by the Applicable Provisions.

4. Modifications to Existing Theatres
For purposes of this Order, the Parties have agreed to divide Regal’s Existing Theatres into three separate categories with each category having distinct types or levels of accessibility modifications. First, the Parties have agreed to modifications at specified former Hoyts theatre complexes due to the relatively small number of covered Auditoriums and the Department’s extensive knowledge of their respective designs and seating configurations. See Consent Order § 4.1. Second, in light of Regal’s acquisition over the last several years of several theatre circuits encompassing thousands of auditoriums nationwide, the Parties have identified and grouped certain Existing Theatres into geographical areas referred to as “Neighborhoods” when one Existing Theatre is within the general geographical area of one or more other existing Regal theatre complexes. Within each Neighborhood, in turn, the Parties have jointly designated at least one existing Regal theatre complex for enhanced accessibility modifications. See Consent Order § 4.2. Third, in the remaining Existing Theatres that do not fall within the geographical limits of a Regal Neighborhood, the Parties have agreed to a third category of specified accessibility modifications. See Consent Order § 4.3. None of the modifications made pursuant to this Consent Order shall trigger any other obligations under the ADA, subsidiary, ancillary, or otherwise, specifically including, but not limited to, those required under 28 C.F.R. § 36.403.

4.1 Former Hoyts Theatres
The first category of Existing Theatres consists of those former Hoyts stadium-style theatres acquired by Regal in March 2003 or otherwise that are still owned, operated, and/or leased by Regal. These Former Hoyts Theatres are, in alphabetical order by state:

At the foregoing Former Hoyts Theatres, Regal shall make the modifications specified below in § 4.1(a)-(k). For purposes of this Order, when a Stadium-Style theatre complex covered by § 4.1, or Auditoriums therein, are not listed below, Regal shall not be required to make any changes to the wheelchair or companion seats in those Auditoriums so long as such seats otherwise comply with §§ 3.1 - 3.3 of this Order.

a. Regal (Hoyts) Cinemas Branford Stadium 12

  • Auditoriums 1-12: Regal shall build a ramp to the first Riser of the Stadium Section and place as many ADA-mandated wheelchair and companion seats as space permits on that Riser. Any ADA-mandated wheelchair and companion seats that cannot be relocated to this first Riser of the Stadium Section due to such space constraints shall be placed as far back from the screen as practicable along an accessible route.

b. Regal (Hoyts) Cinemas Bellingham 14

  • Auditoriums 1-8 and 11-14: Regal shall build a ramp to the first Riser of the Stadium Section and place as many ADA-mandated wheelchair and companion seats as space permits on that Riser. Any ADA-mandated wheelchair and companion seats that cannot be relocated to this first Riser of the Stadium Section due to such space constraints shall be placed as far back from the screen as practicable along an accessible route.

  • Auditoriums 9 and 10: Regal shall relocate two wheelchair and companion seats from row three of the traditional section to row four in the same section along with the two existing wheelchair seats.

c. Regal (Hoyts) Cinemas Solomon Pond Mall 15

  • Auditoriums 13 and 14: Regal shall relocate two additional wheelchair and companion seats to rear of the Stadium Section.

d. Regal (Hoyts) Cinemas Westborough 12

  • Auditoriums 1 and 12: Regal shall add two wheelchair and companion seats to the rear of the Stadium Section. All four new and existing wheelchair and companion seats shall be located in the middle section of the last row in the Stadium Section.

  • Auditoriums 2-5 and 7-11: Regal shall relocate four wheelchair and companion seats to the floor area at the base of the stadium/stair wall.

  • Auditorium 6: Regal shall relocate three wheelchair and companion seats to the floor area at the base of the stadium/stair wall along with one existing wheelchair and companion seat.

e. Regal (Hoyts) Bowie Crossing Stadium 12

  • Auditoriums 1-8 and 11-14: Regal shall build a ramp to the first Riser of the Stadium Section and place as many ADA-mandated wheelchair and companion seats as space permits on that Riser. Any ADA-mandated wheelchair and companion seats that cannot be relocated to this first Riser of the Stadium Section due to such space constraints shall be placed as far back from the screen as practicable along an accessible route.

f. Regal (Hoyts) Hunt Valley Mall 12

  • Auditoriums 3, 4, and 9-12: Regal shall build a ramp to the first Riser of the Stadium Section and place as many ADA-mandated wheelchair and companion seats as space permits on that Riser. Any ADA-mandated wheelchair and companion seats that cannot be relocated to this first Riser of the Stadium Section due to such space constraints shall be placed as far back from the screen as practicable along an accessible route.

g. Regal (Hoyts) Crossgates Mall 18

  • Auditoriums 1-18: Regal shall build a ramp to the current or a new first Riser of the Stadium Section in Lower Level Auditoriums 1, 3, 5, 7, and 9, and Upper Level Auditoriums 10, 12, 14, 16, and 18 and place as many ADA-mandated wheelchair and companion seats as space permits on the first Riser. However, if it is determined that the building structure will not be able to carry the additional weight at either level, or on the third level, then Auditoriums 1 through 9 instead will be remedied, as well as a single Auditorium on the Upper Level that has the least impact on the structure. Any ADA-mandated wheelchair and companion seats that cannot be relocated to the first Riser of the Stadium Section due to space constraints on that Riser shall be placed as far back from the screen as practicable along an accessible route. In the remaining eight Auditoriums, Regal shall, as necessary, relocate four ADA-mandated wheelchair and companion seats to the floor area at the base of the stadium/stair wall.

h. Regal (Hoyts) Ronkonkoma 9

  • Auditoriums 1-4 and 6-9: Regal shall build a ramp to the first Riser of the Stadium Section and place as many ADA-mandated wheelchair and companion seats as space permits on that Riser. Any ADA-mandated wheelchair and companion seats that cannot be relocated to this first Riser of the Stadium Section due to such space constraints shall be placed as far back from the screen as practicable along an accessible route.

  • Auditorium 5: Regal shall relocate two additional wheelchair and companion seats to the second cross-aisle in the Stadium Section along with two existing wheelchair spaces.

i. Regal (Hoyts) Saucon Valley Square 10

  • Auditoriums 1, 2, 5, and 10: Regal shall build a ramp to the first Riser of the Stadium Section and place as many ADA-mandated wheelchair and companion seats as space permits on that Riser. Any ADA-mandated wheelchair and companion seats that cannot be relocated to this first Riser of the Stadium Section due to such space constraints shall be placed as far back from the screen as practicable along an accessible route.

  • Auditoriums 6-9: Regal shall relocate one wheelchair and companion seat from the second row to the last row of the traditional seating section along base of stadium along with two existing wheelchair and companion seats

j. Regal (Hoyts) Hazelton Laurel Mall 10

  • Auditoriums 1, 2, 5, and 10: Regal shall build a ramp to the first Riser of the Stadium Section and place as many ADA-mandated wheelchair and companion seats as space permits on that Riser. Any ADA-mandated wheelchair and companion seats that cannot be relocated to this first Riser of the Stadium Section due to such space constraints shall be placed as far back from the screen as practicable along an accessible route.

  • Auditoriums 3 and 4: Regal shall relocate two wheelchair and companion seats from the ends of the third row in the traditional section to the center portion of the same row.

  • Auditoriums 6, 7, 8 and 9: Regal shall relocate two wheelchair and companion seats to the last row of the traditional seating section along with two existing wheelchair and companion seats.

k. Regal (Hoyts) Martinsburg Cinemas 10

  • Auditoriums 1, 2, 5, and 10: Regal shall relocate two wheelchair and companion seats to the last row of the traditional section.

  • Auditoriums 3 and 4: Regal shall relocate two wheelchair and companion seats from the ends of row three in the traditional section to the center portion of the same row.

  • Auditoriums 6-9: Regal shall relocate two wheelchair and companion seats from the third row of the traditional section to the last row of the traditional seating section at the base of the Stadium Section along with two existing wheelchair seats.

4.2 Regal Neighborhood Theatres
The second category of Existing Theatres consists of Existing Theatres with one or more other Regal Existing Theatres within the same general geographical area or “Neighborhood.” Based on extensive theatre and geographic data, the Parties have identified 46 Regal Neighborhoods throughout the United States that collectively include approximately 159 existing Regal Stadium-Style theatre complexes. A complete list of the existing Regal Neighborhood Theatres as of the date of this Consent Order, along with their respective Neighborhoods, is set forth in Appendix 3 which is herein expressly incorporated into the terms of this Order. At these Regal Neighborhood Theatres, Regal shall make the accessibility modifications specified in §§ 4.2(a) - (f) below.

a. Designated Neighborhood Theatres
The parties have designated one or more Regal theatre complexes within each Neighborhood for enhanced accessibility modifications as specified in subsection 4.2(b) below. A complete list of Designated Neighborhood Theatres is set forth in Appendix 4 which is herein expressly incorporated into the terms of this Order.

(1) Sale or Closure of Designated Neighborhood Theatre
During the Term of this Order, if a Designated Neighborhood Theatre is sold or otherwise permanently ceases to be operated as a motion picture theatre by Regal, Regal shall select an alternate theatre complex within the same Neighborhood to serve as the Designated Neighborhood Theatre. Regal shall notify the United States Department of Justice in writing of the revised theatre designation within 21 days of the completion of such sale or theatre closure. Regal’s selection of an alternate Designated Neighborhood Theatre shall not otherwise alter its obligations to perform modifications at that theatre complex as set forth in § 4.2(b) below. The Parties do not presently anticipate the sale or closure of any Designated Neighborhood Theatres and do not expect that such will occur during the Term of this Order except due to currently unforeseen circumstances.

(2) Substitution of Future Construction or Designed Theaters as Designated Neighborhood Theatres
If Regal opens a Designed Theatre or Future Construction Theatre within the geographical limits of an existing Neighborhood as set forth in Appendix 3, Regal may, after consultation with the Department of Justice, elect to substitute the newly-opened theatre complex as the Designated Neighborhood Theatre in the appropriate Neighborhood. For purposes of this subsection, the “geographical limits” of an existing Neighborhood shall be deemed to include a 10-mile radius around each existing Neighborhood Theatre within that Neighborhood. In the event Regal elects to make such substitute designation, Regal shall notify the Department in writing within 21 days of this election, and the Parties shall consult in good faith regarding the substitute designation. The Department shall agree to such substitute designations except when there exist unusual geographic, demographic, or theatre-specific circumstances within that Neighborhood. Upon agreement of the parties regarding the substitute designation, accessibility modifications, if any, at the Newly Acquired Theatre that is being substituted as a Designated Neighborhood shall be governed by §§ 4.2(b)-(c) of this Order. If either Regal does not elect to make such substitute designation, or the Department does not agree to such substitute designation, Regal shall ensure that the Designed Theatre or Future Construction Theatre otherwise complies with §§ 6 or 7 of this Order as applicable.

b. Modifications to Designated Neighborhood Theatres
Except as provided in § 4.2(e) below, at each Designated Neighborhood Theatre identified in § 4.2(a), Regal shall ensure that no less than 75% of the Auditoriums in that theatre complex have all ADA-mandated wheelchair and companion spaces located within the Stadium Section. In Auditoriums in which all seating is presently located on Risers, or in which one or more wheelchair and companion seats are already located within the Stadium Section, Regal is not required to make additional modifications so long as such seats otherwise comply with §§3.1 – 3.3 of this Order. In Auditoriums in which no wheelchair and companion seats are presently located within the Stadium Section, Regal shall relocate as many ADA-mandated wheelchair and companion seats as practicable (as specified in § 4.2(b)(1) below) no closer to the screen than the first row of the Stadium Section.

(1) Small Auditorium Exception
If the size or configuration of a smaller Auditorium within a Designated Neighborhood Theatre makes it Physically Impracticable to relocate all ADA-mandated wheelchair and companion seats within the Stadium Section, such seating alternatively shall be placed such that:

(i) As many ADA-mandated wheelchair and companion seats as space permits are located no closer to the screen than the first row of the Stadium Section and the remaining wheelchair and companion seating shall be placed as far back from the screen as practicable along an accessible route; or

(ii) If no ADA-mandated wheelchair and companion seats can be located within the Stadium Section, such seating shall be located immediately in front of the Stadium Section (on a Riser or cross-aisle as applicable), or if Physically Impracticable to do so, as far back from the screen as practicable along an accessible route.

(2) Consultations Regarding Small Auditorium Exception
For any Designated Neighborhood Theatre in which Regal determines that application of the Small Auditorium Exception would permit all ADA-mandated wheelchair and companion seating to be located outside the Stadium Section in more than two Auditoriums, Regal shall notify the Department in writing within 21 days of such determination. The Parties thereafter shall consult in good faith regarding the feasibility of (a) selecting other Auditoriums within the theatre complex for accessibility modifications that would permit location of at least one wheelchair and companion seat within the Stadium Section, and/or (b) developing other designs for modification that would allow at least one wheelchair and companion seat to be located in the Stadium Section in the Auditorium(s).

c. Other Auditoriums Within Designated Neighborhood Theatres
For the remaining 25% of Auditoriums within each Designated Neighborhood Theatre not subject to § 4.2(b), Regal shall not be required to make any modifications to the wheelchair or companion seats so long as such seats otherwise comply with §§ 3.1 - 3.3 of this Order.

d. Other Neighborhood Theatres
At the remaining Neighborhood Theatres that have not been identified as Designated Neighborhood Theatres subject to § 4.2(b), Regal shall not be required to make any modifications to the wheelchair or companion seats so long as such seats otherwise comply with §§ 3.1 - 3.3 of this Order. The United States acknowledges and agrees that, when Regal completes the modifications set forth in Section 4.2 of this Consent Order for each Designated Neighborhood Theatre, then all Other Neighborhood Theatres shall be deemed in compliance with the Requirements; and the Department shall not pursue further enforcement of any Applicable Provisions with respect to the location of wheelchair spaces at the Other Neighborhood Theatres that comply with this Order and no further modification shall be necessary to comply with any Applicable Provisions.

e. Former Hoyts Theatres Serving as Designated Neighborhood Theatres
If a Designated Neighborhood Theatre for any Neighborhood is a Former Hoyts Theatre as identified in § 4.1, Regal shall be required to modify that theatre complex pursuant to the accessibility modifications set forth in § 4.1(a)-(k) irrespective of any other requirements for Designated Neighborhood Theatres set forth in § 4.2(b) above.

f. Application of Accessibility Modification Percentages
If the application of the accessibility modification percentage set forth in § 4.2(b) to a particular theatre complex results in other than a whole number, the resulting figure shall be rounded to the nearest whole tenth using standard mathematical principles. For example, if a theatre complex containing ten stadium-style Auditoriums has been identified as a Designated Neighborhood Theatre, Regal would be required to ensure that eight of the Auditoriums therein had wheelchair and companion spaces located no closer to the screen than the first row of the Stadium Section.

4.3 Regal Theatres Without Neighbors
The third category of Existing Theatres consists of Existing Theatres with no other Regal Existing Theatres within the same general geographical area or “Neighborhood.” Based on extensive theatre and geographic data, the Parties have identified approximately 90 Regal Existing Theatres throughout the United States without “Neighbors.” A complete list of the Regal Theatres Without Neighbors is set forth in Appendix 5 which is herein expressly incorporated into the terms of this Order. At these Theatres Without Neighbors, Regal shall make the accessibility modifications specified in §§ 4.3(a) – (e) below.

a. Modifications to Regal Theatres Without Neighbors
Subject to § 4.3(d) below, for each Theatre Without Neighbors identified in § 4.3 above, Regal shall ensure that no less than 25% of the Auditoriums (in a variety of sizes and/or seating configurations) in that theatre complex have all ADA-mandated wheelchair and companion spaces located within the Stadium Section. In Auditoriums in which all seating is presently located on Risers, or in which one or more wheelchair and companion seats are already located within the Stadium Section, Regal is not required to make additional modifications so long as such seats otherwise comply with §§ 3.1 - 3.3 of this Order. In Auditoriums in which no wheelchair and companion seats are presently located within the Stadium Section, Regal shall relocate as many ADA-mandated wheelchair and companion seats as practicable (as specified in § 4.2(b)(1) below) no closer to the screen than the first row of the Stadium Section.

(1) Small Auditorium Exception
If the size or configuration of a smaller Auditorium within a Theatre Without Neighbors makes it Physically Impracticable to relocate all ADA-mandated wheelchair and companion seats within the Stadium Section, such seating alternatively shall be placed such that:

(i) As many ADA-mandated wheelchair and companion seats as space permits are located no closer to the screen than the first row of the Stadium Section and the remaining wheelchair and companion seating shall be placed as far back from the screen as practicable along an accessible route; or

(ii) If no ADA-mandated wheelchair and companion seats can be located within the Stadium Section, such seating shall be located immediately in front of the Stadium Section (on a Riser or cross-aisle as applicable), or if Physically Impracticable to do so, as far back from the screen as practicable along an accessible route.

(2) Consultations Regarding Small Auditorium Exception
For any Theatre Without Neighbors in which Regal determines that application of the Small Auditorium Exception would permit all ADA-mandated wheelchair and companion seating to be located outside the Stadium Section in more than one Auditorium, Regal shall notify the Department in writing within 21 days of such determination. The Parties thereafter shall consult in good faith regarding the feasibility of (a) selecting other Auditoriums within the theatre complex for accessibility modifications that would permit location of at least one wheelchair and companion seat within the Stadium Section, and/or (b) developing other designs for modification that would allow at least one wheelchair and companion seat to be located in the Stadium Section in the Auditorium(s).

b. Other Auditoriums Within Regal Theatres Without Neighbors
For the remaining 75% of Auditoriums within each Theatre Without Neighbors not subject to § 4.3(a), Regal shall not be required to make any modifications to the wheelchair or companion seats so long as such seats otherwise comply with §§ 3.1 - 3.3 of this Order. The United States acknowledges and agrees that, when Regal completes the modifications set forth in Section 4.3 of this Consent Order for each Theatre Without Neighbors, then all Theatres Without Neighbors shall be deemed in compliance with the Requirements; the Department shall not pursue further enforcement of any Applicable Provisions with respect to the location of wheelchair spaces at the Theatres Without Neighbors that comply with this Order and no further modification shall be necessary to comply with any Applicable Provisions.

c. Sale or Closure of Regal Theatre Without Neighbors
If Regal sells, closes, or permanently ceases movie exhibition operations at a particular Theatre Without Neighbors prior to the end of the term of this Consent Order, Regal shall have no further obligation to make modifications at that theatre complex.

d. Former Hoyts Theatres Without Neighbors
If a Former Hoyts Theatre is a Theatre Without Neighbors, Regal shall be required to perform accessibility modifications as set forth in § 4.1(a)-(k) irrespective of any other requirements for Regal Theatres Without Neighbors set forth in §§ 4.3(a)-(c) above.

e. Application of Accessibility Modification Percentages
If the application of the accessibility modification percentage set forth in § 4.3(a) to a particular theatre complex results in other than a whole number, the resulting figure shall be rounded to the nearest whole tenth using standard mathematical principles. For example, if a Theatre Without Neighbors contains ten stadium-style Auditoriums, Regal would be required to ensure that three of the Auditoriums therein had wheelchair and companion spaces located no closer to the screen than the first row of the Stadium Section.

4.4 Notice to Patrons of Modifications to Regal’s Existing Theatres
After accessibility modifications specified in §§ 4.1to 4.3 of this Order have been completed at each Existing Theatre, Regal shall provide written notice that wheelchair and companion seating in the specified Auditoriums have improved access for patrons who use wheelchairs to their respective Stadium Sections. Regal shall provide such notice by posting the requisite information at the box office or lobby, and on Regal’s Internet site providing movie information (i.e., movie titles and show times) for those theatre complexes. Such notice posted at the box office or lobby shall be maintained for a period of no less than 90 days after completion of the accessibility modifications. Such notice posted on Regal’s Internet site shall be maintained for a period of no less than one year after completion of the accessibility modifications.

5. Newly Acquired Stadium-Style Theatre Complexes

5.1 Modifications to Newly Acquired Theatres
If Regal purchases, leases, or otherwise commences movie theatre operations at a Newly Acquired Theatre at any time after the Effective Date of this Consent Order, Regal shall make such accessibility modifications as are specified in §5.1(a)-5.1(b) below.

(a) Newly Acquired Theatres Located Within Existing Neighborhoods
If a Newly Acquired Theatre is located within the geographical limits of an existing Neighborhood as set forth in Appendix 3, Regal may, after consultation with the Department of Justice, elect to add the theatre to an existing Neighborhood or substitute such Newly Acquired Theatre as the Designated Neighborhood Theatre in the appropriate Neighborhood. For purposes of this subsection, the “geographical limits” of an existing Neighborhood shall be deemed to include a 10-mile radius around each existing Neighborhood Theatre within that Neighborhood. In the event Regal seeks to make such substitute designation, Regal shall notify the Department in writing within 21 days of this election, and the Parties shall consult in good faith regarding the substitute designation. The Department shall generally agree to such substitute designations absent unusual geographic, demographic, or theatre-specific circumstances within that Neighborhood. Upon agreement of the parties regarding the substitute designation, accessibility modifications (if any) at the Newly Acquired Theatre that is being substituted as a Designated Neighborhood shall be governed by §§ 4.2(b)-(c) of this Order. If either Regal does not elect to make such substitute designation for the Newly Acquired Theatre, or the Department does not agree to such substitute designation, Regal shall ensure that the Newly Acquired Theatre otherwise complies with § 4.2(d) of this Order.

(b) Newly Acquired Theatres Located Outside Existing Neighborhoods
If a Newly Acquired Theatre is located outside the geographical limits of an existing Neighborhood as set forth in Appendix 3, Regal shall make the accessibility modifications set forth in §§ 5.1(b)(1) – 5.1(b)(2) below depending on whether or not the Newly Acquired Theatre forms a “new” Neighborhood with other Regal theatres.

(1) Newly Acquired Theatre Creating New Neighborhood
If a Newly Acquired Theatre is located outside the geographical limits of an existing Neighborhood as set forth in Appendix 3, but is otherwise located within the general geographical limits of at least one other Newly Acquired Theatre, Former Hoyts Theatre, Future Construction Theatre, Designed Theatre, and/or Theatre Without Neighbors, Regal may, at its discretion, elect to create a new Neighborhood that shall be governed by § 4.2 of this Consent Order. For purposes of this subsection, the “geographical limits” shall be deemed to include a 10-mile radius around each Newly Acquired Theatre, Former Hoyts Theatre, Future Construction Theatre, Designed Theatre, and/or Theatre Without Neighbors. In the event Regal elects to make create a “new” Neighborhood, Regal shall notify the Department in writing within 21 days of such election, and Regal select one theatre complex in the “new” Neighborhood to identify as the Designated Neighborhood Theatre subject to the accessibility modification requirements §§ 4.2(b)-(c) of this Order. The other theater complexes in such Neighborhood that are not identified as a Designated Neighborhood Theater shall be treated as Neighborhood Theaters and shall be governed by section 4.2(d). If Regal does not elect to create a “new” Neighborhood that includes the Newly Acquired Theatre(s), Regal shall otherwise ensure that the Newly Acquired Theatre complies with § 4.3 of this Order.

(2) Newly Acquired Theatre Without Neighbors
If a Newly Acquired Theatre is located outside an existing Neighborhood as set forth in Appendix 3, and is also located outside the geographical limits of any other Newly Acquired Theatres (whether acquired simultaneously or during separate transactions), Former Hoyts Theatres, Future Construction Theatres, Designed Theatres, and/or Theatre Without Neighbors, Regal shall ensure that the Newly Acquired Theatre complies with § 4.3 of this Order. For purposes of this subsection, the “geographical limits” shall be deemed to include a 10-mile radius around each Newly Acquired Theatre, Former Hoyts Theatre, Future Construction Theatre, Designed Theatre, and/or Theatre Without Neighbors.

(c) The United States acknowledges and agrees that, when Regal completes the modifications set forth in Section 5 of this Consent Order for each Newly Acquired Theatre, if any, then such Theatres shall be deemed in compliance with the Requirements; the Department shall not pursue further enforcement of any Applicable Provisions with respect to the location of wheelchair spaces at the Theatres Without Neighbors that comply with this Order and no further modification shall be necessary to comply with any Applicable Provisions.

5.2 Notice to Patrons of Modifications to Regal’s Newly Acquired Theatres
After accessibility modifications specified in §§ 5.1(a) to 5.1(b)of this Order have been completed at each Newly Acquired Theatre, Regal shall provide written notice that wheelchair and companion seating in the specified Auditoriums have improved accessibility for patrons who use wheelchairs to their respective Stadium Sections. Regal shall provide such notice by posting the requisite information at the box office or lobby, and on Regal’s Internet site providing movie information (i.e., movie titles and show times) for those theatre complexes. Such notice posted at the box office or lobby shall be maintained for a period of no less than 90 days after completion of the accessibility modifications. Such notice posted on Regal’s Internet site shall be maintained for a period of no less than one year after completion of the accessibility modifications.

6. Seating Plans for Designed Theatres
The United States has reviewed and specifically approves the auditoria seating plans for the Designed Theatres set forth in Appendix 6 of this Consent Order for compliance with all Applicable Provisions.

7. Standards for Future Construction Theatres
All Future Construction theatre complexes governed by Standard 4.33.3 and this Consent Order shall comply with the requirements set forth in subsections §§ 7.1 – 7.4 below.

7.1 Unobstructed View of the Screen
Wheelchair spaces and their companion seats shall be located on a Riser or cross-aisle within the Stadium Section of an Auditorium that provides patrons in these seats with an unobstructed view of the screen.

7.2 Integration of Wheelchair Spaces
Wheelchair spaces shall be integrated into their seat row and shall not be separated by any aisle or other break from the other seats in the same row. Wheelchair spaces shall be on the same floor level as other seats in the same row, including companion seats.

7.3 Relationship of Wheelchair and Companion Seating
Wheelchair spaces shall have at least one companion fixed seat adjacent to each wheelchair space (i.e. 1:1 ratio). Wheelchair spaces and companion seats shall also be located on the same floor level as other seats in the same row; they shall not be higher or lower relative to each other.

7.4 Location of Wheelchair Spaces and Companion Seating Within Stadium Section
Regal shall locate all ADA-mandated wheelchair spaces and companion seating in stadium-style Auditoriums in Future Construction Theatres according to the following criteria:

(a) ADA-mandated wheelchair and companion seating areas shall be located within the Stadium Section of an Auditorium on a Riser; and

(1) Within the area of an Auditorium in which vertical viewing angles (as measured to the top of the screen) for the wheelchair spaces are equivalent to, or less than, the average vertical viewing angle provided for other members of the general public seated in all fixed seating in the Auditorium; or

(2) Within the rear 60% of the seats provided in an Auditorium; or

(3) Within the area of an Auditorium in which the vertical viewing angles (as measured to the top of the screen) are from the 50th to the 100th percentile of vertical viewing angles for all seats as ranked from the seats in the first row (1st percentile) to seats in the back row (100th percentile); or

(4) The design is submitted via overnight courier for review and approval by the Department. The United States will respond to any such request within thirty (30) days of receipt of such plans, although the DOJ may request, in writing prior to the expiration of the thirty (30) day period, an extension of thirty (30) days. If Regal does not receive a response to its request at the end of the thirty day period, or at the end the sixty (60) day period if an extension is timely requested by the Department and transmitted to Regal by facsimile or express mail delivery, such plans will be deemed approved by the DOJ and Regal may proceed to build theatres according to the plans submitted to the United States. If Regal declines to submit a proposed plan for a theatre complex that does not meet the conditions set forth in either subparagraph (1), (2), or (3), or if it chooses to build a theatre design rejected by the United States in this review process that does not meet the conditions set forth in either subparagraph (1), (2) or (3), that specific theatre design shall not be covered by the safe harbor provisions of this Consent Order, see § 2.4, and if the Department believes that such design violates the wheelchair placement provisions of the ADA Standards, the Department may seek remedy in this Court to correct such non-conforming design.

7.5 Stadium-style Auditoriums in Future Construction Theatres built in conformity with the provisions of §§ 7.1 to 7.4 of this Order shall, for purposes of this Consent Order, be deemed by the Department to satisfy the Requirements.

7.6 Nothing in Section 7 of this Consent Order shall limit the placement of any additional wheelchair spaces required by state or local codes beyond those mandated under the Applicable Provisions for a particular Auditorium.

8. Required Time Frames for Implementing This Consent Order

8.1 Modifications to Existing Theatres
Excepted as provided in § 8.2 below, modifications to Regal’s Existing Theatres (including, without limitation, all Former Hoyts Theatres, Designated Neighborhood Theatres, Neighborhood Theatres, and Theatres Without Neighbors) as required under §§ 4.1 – 4.3 of this Consent Order shall be implemented within five years of the Effective Date of this Order, consistent with the following:

(a) One-fifth (1/5) of the theatre complexes shall be done within the first 12 months from the Effective Date of this Consent Order;

(b) Two-fifths (2/5) of the theatre complexes shall be done within the first 24 months from the Effective Date of this Consent Order;

(c) Three-fifths (3/5) of the theatre complexes shall be done within the first 36 months from the Effective Date of this Consent Order;

(d) Four-fifths (4/5) of the theatre complexes shall be done within the first 48 months from the Effective Date of this Consent Order; and

(e) Modifications at all of the theatre complexes shall be completed within 60 months from the Effective Date of this Consent Order.

8.2 Expedited Modifications to Certain Existing Theatres
Within the first 12 months of the Effective Date of this Order, Regal shall complete the accessibility modifications required in this Order at the following Existing Theatres: Regal (Hoyts) Crossgates Mall 18; Regal Movies on TV 16; Regal Stark Street 10; Regal Division Street 13; and Regal Wilsonville Stadium 9. Regal may complete the modifications at these specified Existing Theatres in any order and all such modifications will be included in and considered part of the completion percentage requirements set forth in 8.1.

8.3 Modifications to Newly Acquired Theatres
Regal shall complete all accessibility modifications required in this Order for Newly Acquired Theatres within the term of this agreement or as extended pursuant to Section 10.5 of this Order.

8.4 Future Construction
The requirements for Future Construction Theatres are effective immediately upon the Effective Date of this Consent Order.

9. Notice, Reporting, and Monitoring Requirements

9.1 Within twelve months of the Effective Date of this Consent Order, and every twelve months thereafter for the Term of this Consent Order, Regal shall provide written notice to the Department of Justice identifying the Stadium-Style Theatre Complex location(s) at which modifications required by this Consent Order were performed, identifying any Future Construction Theatres, identifying any Newly Acquired Theatres, and identifying any Existing Theatre(s) sold or permanently closed by Regal during the relevant time period. The written notice shall also include, when available, architectural drawings and photographs of the modifications made at each Existing or Newly Acquired Theatre during the prior one-year period.

9.2 Throughout the Term of this Consent Order, the Department of Justice may, upon reasonable notice to Regal, review compliance with this Consent Order by sending representatives to inspect any Regal stadium-style movie theatre complex, either existing or under construction, that is covered by this Consent Order. Any such inspections shall be conducted (i) during non-show times within ten (10) business days of such notice and (ii) shall be limited to the requirements of the ADA with respect to (a) providing wheelchair spaces with lines of sight comparable to those for members of the general public, (b) including wheelchair spaces as an integral part of the fixed seating plan, and (c) satisfying applicable dispersion requirements under this Consent Order. Regal shall have the right to have a corporate representative and Regal’s legal counsel present at any such inspection.

9.3 The Department of Justice may review compliance with this Consent order at any time. If the Department believes that Regal is not in compliance with this Consent Order or any requirement contained herein, the Department agrees to notify Regal in writing of the alleged noncompliance and attempt to seek a reasonable resolution of the matter with Regal. Regal shall have sixty (60) days in which to respond to such written notice and provide objections or a schedule for correction of agreed upon deficiencies. If the Parties are unable to reach a resolution within sixty (60) days after the Department of Justice has received Regal’s response, the Department may seek appropriate relief from this Court. The parties hereby agree to use their respective best efforts to resolve disputes regarding compliance or enforcement of this Order in a mutually agreeable fashion without resort to judicial resolution, and, therefore, presently anticipate that any such judicial dispute resolution mechanism will infrequently (if ever) occur during the Term of this Order. Failure by the Department to seek enforcement of this entire Consent Order, or any provision thereof, with regard to any deadline or any other provision herein, shall not be construed as a waiver of the Department’s right to do so with regard to other deadlines and provisions of this Consent Order.

9.4 All notices, correspondences and reports required by this Consent Order shall be sent by overnight courier to the parties at the following addresses or to such other person as the parties may designate in writing in the future:

10. Miscellaneous

10.1 Entire Consent Order
This Consent Order and its exhibits and appendices constitute the entire agreement between the parties on the matters raised herein, and no other statement, promise, or agreement, either written or oral, made by any of the parties or agents of any of the parties, that is not contained in this written Consent Order, shall be enforceable regarding the matters raised herein.

10.2 Public Document
This Consent Order is a public document. A copy of this document, and any information contained herein, may be made available to any person.

10.3 Consent Order Binding on Parties and Successors in Interest
This Consent Order is binding on the United States, Regal, and any successors in interest. Regal has a duty to so notify all its successors in interest of the existence and terms of this Consent Order.

10.4 Other Companies Or Claimants
Except as provided by § 10.3 above, the terms of this Consent Order shall not apply to any movie theatre company or circuit other than Regal. Except as provided by § 10.3 above, no person or entity other than the United States or Regal shall have standing to enforce this Consent Order or any of its provisions.

10.5 Term of the Consent Order

(a) This Consent Order shall be in full force and effect for a period of five (5) years after the Effective Date of this Consent Order (the “Term”).

(b) At any time after the fourth (4th) year of the Term, Regal shall have the right to request that the DOJ consent to renew this Consent Order for an additional five (5) year term, which consent shall not be unreasonably withheld or delayed. If the DOJ has withheld its consent or has not responded to such a request within sixty (60) days, Regal may apply to the Court for an order extending this Consent Order for an additional five (5) year term. Provided Regal is not materially noncompliant with its obligations under this Consent Order, the DOJ shall not oppose any such application.

(c) Regardless of whether the Term is renewed, the DOJ shall at no time during or after the Term repudiate, or take any position inconsistent with, any of the positions it has taken in this Consent Order with regard to any Regal Theatre, including without limitation its acknowledgement that theatre complexes that comply with this Consent Order satisfy all Requirements and comply with all Applicable Provisions.

(d) The Court shall retain jurisdiction of this action to enforce provisions of this Consent Order during the five-year Term and any renewal Terms.

10.6 Severability
If any nonmaterial term of this Consent Order is determined by any court to be unenforceable, the other terms of this Consent Order shall nonetheless remain in full force and effect, unless it is determined that the provisions deemed unenforceable consist of material provisions which amounted to the original consideration for the adversely affected party in entering into this consent order.

10.7 Signatories Bind Parties
Signatories on behalf of the parties represent that they are authorized to bind the parties to this Consent Order.

10.8 Force Majeure
Whenever a day is appointed herein on which, or a period of time is appointed within which, either party is required to do or complete any act, matter, or thing, the time for doing or completion thereof shall be extended by a period of time equal to the number of days on or during which either party is prevented from, or is unreasonably interfered with, the doing or completion of such act, matter, or thing as a result of strikes, lock-outs, embargoes, unavailability of labor or materials, wars, insurrections, rebellions, declarations of national emergencies, acts of God, or other causes beyond the reasonable control of the party. Financial inability to satisfy the terms of the agreement is not included within this exception.
