Enforcement Proceedings

In the Matter of Prime Star Group, Inc.

On May 29, 2012, the Commission issued an Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 (Order) against Prime Star Group, Inc. (Prime Star). The Order finds that Prime Star is a Nevada corporation headquartered in Las Vegas, Nevada, with a class of equity securities registered with the Commission pursuant to Section 12(g) of the Exchange Act. Prime Star’s stock was quoted on the OTC Link operated by OTC Markets Group, Inc. The stock currently trades on the over-the-counter market (grey market). The Order also finds that Prime Star failed to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder, by not filing an Annual Report on Form 10-K since May 14, 2010 for the fiscal year ended December 31, 2009, or quarterly reports on Form 10-Q for any fiscal period subsequent to its fiscal quarter ended September 30, 2010.

Based on the above, Prime Star consented to the issuance of the Order revoking the registration of each class of Prime Star’s securities registered with the Commission pursuant to Section 12 of the Exchange Act. (Rel. 34-67067; File No. 3-14787)

In the Matter of Elijah Bang

On May 29, 2012, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(f) of the Investment Advisers Act of 1940, Making Findings and Imposing Remedial Sanctions (Order) against Elijah Bang (Respondent). The Order finds that on December 27, 2011, a judgment was entered by consent against Respondent in SEC v. IU Group, Inc., et al. (Civil Action No. CV-11-00556 MMM (AJWx) (C.D. Cal.)), permanently enjoining him from future violations of Sections 5(c) and 17(a) of the Securities Act of 1933 and Sections 206(1), 206(2), and 206(4) of the Investment Advisers Act of 1940 and Rule 206(4)-8 thereunder.

The Order further finds that the Commission’s complaint in SEC v. IU Group, Inc., et al. alleged that Bang attempted to solicit investors on behalf of IU Wealth, Inc., of which Bang was its principal, and which purported to operate as a hedge fund. The complaint alleged that Bang made material representations to prospective investors in IU Wealth, including falsely representing that the purported hedge fund had generated an average monthly return of 8.29%, and that the fund handled the wealth of high-net worth individuals such as athletes, actors, and producers.

Based on the above, the Order bars Elijah Bang from association with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization. Respondent consented to the issuance of the Order without admitting or denying any of the findings except as to the entry of the order of permanent injunction. (Rel. IA-3410; File No. 3-14895)

Delinquent Filer’s Stock Registration Revoked

The registration of the registered securities of SinoTech Energy Limited has been revoked. It had failed to file required reports with the Securities and Exchange Commission. Thus, it violated a crucial provision of the federal securities laws that requires public corporations to publicly disclose current, accurate financial information so that investors may make informed decisions. The revocation was ordered in an administrative proceeding before an administrative law judge. (Rel. 34-67073; File No. 3-14867)

In the Matter of Oxford Investment Partners, LLC and Walter J. Clarke

On May 30, 2012, the Commission issued an Order Instituting Administrative and Cease-and-Desist Proceedings Pursuant to Sections 203(e), 203(f), and 203(k) of the Investment Advisers Act of 1940 and Section 9(b) of the Investment Company Act of 1940 and Notice of Hearing (Order) against Oxford Investment Partners, LLC (Oxford) and Walter J. Clarke (Clarke).

In the Order, the Division of Enforcement alleges that Clarke – Oxford’s owner and president – employed several devices to fraudulently inflate the value of Oxford by at least $1.5 million when selling an ownership stake to a client. This caused the client to overpay by at least $112,000. Oxford and Clarke also advised clients to invest with two businesses without disclosing that Clarke owned one of them and had financial ties to the owners of the other. Both investments later failed.

According to the Division’s allegations, in March 2008 Clarke sold an Oxford client 7.5% of his ownership interest in the firm. The client paid $750,000 based on Clarke’s valuation of Oxford at $10 million. However, Clarke used several devices to fraudulently inflate Oxford’s value. First, Clarke applied an excessive and baseless multiple to Oxford’s 2007 annual revenue. Second, Clarke calculated Oxford’s 2007 revenue by quadrupling Oxford’s Q4 2007 revenue – the highest of 2007 – and ignoring Oxford’s lower revenue in the previous three quarters. Third, Clarke added a baseless $1 million “premium” to Oxford’s valuation. With these ploys, Clarke overvalued Oxford by at least $1.5 million, causing the client to overpay by at least $112,000.

Additionally, and as alleged in the Order, in September 2007 and March 2008, Clarke convinced three clients to fund over $300,000 in loans originated by Cornerstone Funding Group. However, Oxford and Clarke failed to disclose that Clarke was an owner of Cornerstone and would profit if it successfully originated loans. Within months of the loans being funded, the underlying borrowers defaulted, causing the clients to lose their investments.

The Division of Enforcement further alleges that in November 2008, Clarke convinced four clients to invest approximately $40,000 in HotStix, a privately-held company, without disclosing that the owners of HotStix owned a portion of Oxford and were paid Oxford consultants. Shortly after the investments, HotStix sought bankruptcy protection, and the clients lost their investments.

As alleged in the Order, Oxford and Clarke willfully violated Sections 206(1), 206(2) and 206(4) of the Investment Advisers Act of 1940 and Rule 206(4)-8 thereunder.

A hearing will be scheduled before an Administrative Law Judge to determine whether the allegations contained in the Order are true, and to afford the Respondents an opportunity to establish defenses to the allegations, and to determine whether remedial action is appropriate and in the public interest.

The Order requires the Administrative Law Judge to issue an initial decision no later than 300 days from the date of service of the Order, pursuant to Rule 360(a)(2) of the Commission’s Rules of Practice. (Rels. IA-3412; IC-30086; File No. 3-14899)

Securities and Exchange Commission Orders Hearing on Registration Suspension or Revocation Against Eight Public Companies For Failure to Make Required Periodic Filings

Today the Commission instituted public administrative proceedings to determine whether to revoke or suspend for a period not exceeding twelve months the registrations of each class of the securities of eight companies for failure to make required periodic filings with the Commission:

In this Order, the Division of Enforcement (Division) alleges that the eight issuers are delinquent in their required periodic filings with the Commission.

In this proceeding, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge. At the hearing, the Administrative Law Judge will hear evidence from the Division and the Respondents to determine whether the allegations of the Division contained in the Order, which the Division alleges constitute failures to comply with Exchange Act Section 13(a) and Rules 13a-1 and 13a-13 thereunder, are true. The Administrative Law Judge in the proceeding will then determine whether the registrations pursuant to Exchange Act Section 12 of each class of the securities of these Respondents should be revoked or suspended for a period not exceeding twelve months. The Commission ordered that the Administrative Law Judge in this proceeding issue an initial decision not later than 120 days from the date of service of the order instituting proceedings. Court Approves Plan of Distribution in BISYS Financial Reporting Case

The Hon. Richard J. Sullivan issued an order on May 21, 2012 approving the Securities and Exchange Commission’s proposed plan of distribution in SEC v. The BISYS Group, Inc. 07 Civ. 4010 (RJS) (S.D.N.Y.) (the Distribution Plan, or Plan). Pursuant to the court’s order approving the Plan, A.B. Data, Ltd., the claims administration firm that served as the court-appointed claims administrator in a parallel class action, In re BISYS Securities Litigation, 04-Civ-3840 (JSR) (S.D.N.Y.) (the Class Action), will implement the Plan and administer the distribution.

The Distribution Plan will govern the distribution of the approximately $25 million paid by BISYS in settlement of this financial reporting case, plus additional funds added from the Fair Fund created in a related case, SEC v. Steven Wevodau, 08 Civ. 8348 (RJS) (S.D.N.Y.). Under the terms of the Distribution Plan, the available funds will be distributed to shareholders who acquired and held BISYS stock during the period beginning on October 23, 2000 and ending on April 22, 2004) (the “Recovery Period”), and suffered a loss on their investment, as calculated under the Plan. Persons eligible to receive a distribution under the proposed Plan are persons who acquired BISYS shares during the Recovery Period, and who incurred a Net Recognized Loss, as defined under the Plan, with respect to their purchase of BISYS shares and (a) submitted a claim that was not deemed deficient in the Class Action; or (b) who opted out of the class in the Class Action.

The Commission’s complaint against BISYS, filed May 23, 2007, alleged that BISYS violated the financial reporting, books-and-records, and internal control provisions of the Securities Exchange Act of 1934 by engaging in a variety of improper accounting practices that resulted in material overstatements of BISYS’s reported financial results by roughly $180 million in fiscal years 2001, 2002, and 2003. As a result, the Commission alleged that BISYS filed annual and quarterly reports, and other documents, that materially misstated its results for the fiscal years ended June 30, 2001, 2002, and 2003, interim quarters during those fiscal years, and the quarters ended September 30, and December 31, 2003. On July 27, 2007, the Court entered a final judgment against BISYS, to which BISYS consented without admitting or denying the allegations in the complaint. SEC v. Richard DeMaria

The Securities and Exchange Commission charged Chicago-area resident Richard DeMaria yesterday with fraud, alleging that he operated a prime bank scheme that defrauded at least thirteen investors out of approximately $4.3 million.

The SEC’s complaint, filed on May 29, 2012 in the U.S. District Court for the Northern District of Illinois, alleges that DeMaria enticed his investor victims to invest money with him to purchase interests in a financial instrument for the purpose of generating a profit. Instead of purchasing any financial instruments, DeMaria misappropriated virtually all of the victims’ money for his own personal use.

The SEC alleges that DeMaria never acquired any financial instruments, which is typical in prime bank schemes. When investors sought the return of their investments, DeMaria lulled investors with promises that a deal to acquire a financial instrument was imminent. These promises were false.

According to the SEC’s complaint, DeMaria misappropriated at least $3.8 million of the investor funds. He used investor funds for, among other things, his personal use and to fund his other business ventures. For example, DeMaria used over $2 million to fund his real estate business. He also spent over $90,000 of investors’ money at a Chicago-area dealership specializing in the sale of sports cars. DeMaria also used investor funds for travel and expensive meals.

The SEC complaint alleges violations of Section 17(a) of the Securities Act of 1933 (“Securities Act”), Section 10(b) Securities Exchange Act of 1934 (“Exchange Act”), and Rule 10b-5 thereunder by DeMaria. As part of this action, the SEC seeks an order of permanent injunction against DeMaria as well as the payment of disgorgement of ill-gotten gains, prejudgment interest and civil penalties.

Immediate Effectiveness of Proposed Rule Changes

A proposed rule change filed by NYSE Arca, Inc. regarding the extension of unlisted trading privileges to new derivative securities products that are listed on another exchange and to make other conforming and technical amendments (SR-NYSEArca-2012-46) has become effective pursuant to Section 19(b)(3)(A) of the Securities Exchange Act of 1934. The Commission issued notice of filing and immediate effectiveness of a proposed rule change (SR-Phlx-2012-67) filed by NASDAQ OMX PHLX LLC under Rule 19b-4 of the Securities Exchange Act of 1934 relating to the MSCI EAFE Index.
