Rules and Related MattersOrder Approving Application for Relief From a Statutory DisqualificationOn September 12, 2011, the Commission issued an Order, approving the application of the Financial Industry Regulatory Authority, Inc. (FINRA), f/k/a National Association of Securities Dealers, Inc., for relief from a statutory disqualification, permitting Miles A. Bahl to associate as a general securities representative with du Pasquier & Company, Inc. (du Pasquier), a member of FINRA. The Order states that, based on the representations made by FINRA and du Pasquier with respect to the supervision of Mr. Bahl and the conditions placed on his employment, the Commission will not institute proceedings pursuant to Section 15(b) of the Securities Exchange Act of 1934 (Exchange Act), and will not direct FINRA to bar the proposed association, as provided in Section 15A(g)(2) of the Exchange Act. SouzaOn September 13, 2011, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(f) of the Investment Advisers Act of 1940 and Notice of Hearing (Order) against David A. Souza. Souza is the former President, Chief Executive Officer and Manager of D.A. Souza Investments, LLC. The Order alleges that on August 24, 2011, the United States District Court for the Eastern District of California entered a final judgment by default in which the court found that Souza had violated Sections 206(1), 206(2), and 206(4) of the Investment Advisers Act of 1940 (Advisers Act) and Advisers Act Rule 206(4)-8, Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Exchange Act Rule 10b-5, and Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933. The final judgment permanently enjoins Souza from future such violations, directly or indirectly. It also requires Souza to pay $946,927.91 in disgorgement with prejudgment interest and a civil penalty of $946,927.91. The Order requires that a hearing will be scheduled before an Administrative Law Judge. At the hearing, the Administrative Law Judge will hear evidence from the Division and the Respondent to determine whether the allegations of the Division contained in the Order are true. The Administrative Law Judge will issue an initial decision no later than 210 days from the date of service of the Order. (Rel. IA-3277; File No. 3-14548) In the Matter of Dustin D. WhiteThe Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, and Notice of Hearing (Order) against Dustin D. White of Colorado Springs, Colorado. The proceedings are based on an August 31, 2011, order that enjoined White from violating Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, and Sections 10(b) and 15(a) of the Securities Exchange Act of 1934 and Rule 10b-5 in a civil action entitled Securities and Exchange Commission v. Wellco Energy LLC, et al., Civil Action Number 1:09-CV-1114 (D. Colo.). In the Order, the Division of Enforcement alleges that in connection with White’s sale of fractional undivided interests in oil and gas rights, he made misrepresentations to investors that Wellco was the operator of the four oil and gas projects. The complaint further alleged that, in fact, Wellco did not operate the wells and purchased fractional undivided interests from another company, which interests it further divided and resold to investors. The complaint further alleged White misrepresented that Wellco’s principal, Justin William Rifkin, had extensive experience operating oil and gas prospects, when in fact, Rifkin’s experience was limited to raising money through sales of other oil and gas projects and he had no experience operating oil and gas wells. The complaint also alleged that, in connection with White’s offers and sales, White made misrepresentations about how investors’ funds would be used, and investors were not told that White would receive a twenty percent commission. The complaint further alleged that White sold securities when no registration statement was in effect or filed with the Commission. The complaint further alleged White was not registered or associated with a broker or dealer during the time when he offered and sold the securities at issue in the case. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide the Respondent with an opportunity to dispute these allegations, and to determine what sanctions, if any, are appropriate and in the public interest.
