Commission Meetings

Following is a schedule of Commission meetings, which will be conducted under provisions of the Government in the Sunshine Act. Meetings will be scheduled according to the requirements of agenda items under consideration.

Open meetings will be held in the Auditorium, Room L-002 at the Commission's headquarters building, 100 F Street, N.E., Washington, D.C. Visitors are welcome at all open meetings, insofar as space is available. Persons wishing to photograph or videotape Commission meetings must obtain permission in advance from the Secretary of the Commission. Persons wishing to tape record a Commission meeting should notify the Secretary's office 48 hours in advance of the meeting.

The subject matters of the Open Meeting will be:

Item 1:

The Commission will consider whether to propose a new rule under Section 621 of the Dodd-Frank Wall Street Reform and Consumer Protection Act, Pub. L. No. 111-203, to implement the prohibition under Section 621 regarding material conflicts of interest relating to certain securitizations.

Item 2:

The Commission will consider whether to propose new rules under Section 764(a) of the Dodd-Frank Wall Street Reform and Consumer Protection Act to provide for the registration of security-based swap dealers and major security-based swap participants.

Rules and Related Matters

Order Approving Application for Relief From a Statutory Disqualification

On September 12, 2011, the Commission issued an Order, approving the application of the Financial Industry Regulatory Authority, Inc. (FINRA), f/k/a National Association of Securities Dealers, Inc., for relief from a statutory disqualification, permitting Miles A. Bahl to associate as a general securities representative with du Pasquier & Company, Inc. (du Pasquier), a member of FINRA. The Order states that, based on the representations made by FINRA and du Pasquier with respect to the supervision of Mr. Bahl and the conditions placed on his employment, the Commission will not institute proceedings pursuant to Section 15(b) of the Securities Exchange Act of 1934 (Exchange Act), and will not direct FINRA to bar the proposed association, as provided in Section 15A(g)(2) of the Exchange Act. Enforcement Proceedings

In the Matter of David A. Souza

On September 13, 2011, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(f) of the Investment Advisers Act of 1940 and Notice of Hearing (Order) against David A. Souza. Souza is the former President, Chief Executive Officer and Manager of D.A. Souza Investments, LLC.

The Order alleges that on August 24, 2011, the United States District Court for the Eastern District of California entered a final judgment by default in which the court found that Souza had violated Sections 206(1), 206(2), and 206(4) of the Investment Advisers Act of 1940 (Advisers Act) and Advisers Act Rule 206(4)-8, Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Exchange Act Rule 10b-5, and Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933. The final judgment permanently enjoins Souza from future such violations, directly or indirectly. It also requires Souza to pay $946,927.91 in disgorgement with prejudgment interest and a civil penalty of $946,927.91.

The Order requires that a hearing will be scheduled before an Administrative Law Judge. At the hearing, the Administrative Law Judge will hear evidence from the Division and the Respondent to determine whether the allegations of the Division contained in the Order are true. The Administrative Law Judge will issue an initial decision no later than 210 days from the date of service of the Order. (Rel. IA-3277; File No. 3-14548)

In the Matter of Dustin D. White

The Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, and Notice of Hearing (Order) against Dustin D. White of Colorado Springs, Colorado.

The proceedings are based on an August 31, 2011, order that enjoined White from violating Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, and Sections 10(b) and 15(a) of the Securities Exchange Act of 1934 and Rule 10b-5 in a civil action entitled Securities and Exchange Commission v. Wellco Energy LLC, et al., Civil Action Number 1:09-CV-1114 (D. Colo.). In the Order, the Division of Enforcement alleges that in connection with White’s sale of fractional undivided interests in oil and gas rights, he made misrepresentations to investors that Wellco was the operator of the four oil and gas projects.  The complaint further alleged that, in fact, Wellco did not operate the wells and purchased fractional undivided interests from another company, which interests it further divided and resold to investors.  The complaint further alleged White misrepresented that Wellco’s principal, Justin William Rifkin, had extensive experience operating oil and gas prospects, when in fact, Rifkin’s experience was limited to raising money through sales of other oil and gas projects and he had no experience operating oil and gas wells. The complaint also alleged that, in connection with White’s offers and sales, White made misrepresentations about how investors’ funds would be used, and investors were not told that White would receive a twenty percent commission.  The complaint further alleged that White sold securities when no registration statement was in effect or filed with the Commission. The complaint further alleged White was not registered or associated with a broker or dealer during the time when he offered and sold the securities at issue in the case.

A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide the Respondent with an opportunity to dispute these allegations, and to determine what sanctions, if any, are appropriate and in the public interest. The Order requires that the administrative law judge issue an initial decision no later than 210 days from the date of service of the Order. (Rel. 34-65331; File No. 3-14547)

In the Matter of D.G. Jewellery of Canada Ltd. (n/k/a D.G. Jewelry, Inc.)

An Administrative Law Judge has issued an Order Making Findings and Revoking Registrations by Default (Default Order) in D.G. Jewellery of Canada Ltd. (n/k/a D.G. Jewelry, Inc.), Admin. Proc. No. 3-14502. The Order Instituting Proceedings alleged that Respondents repeatedly failed to file required annual and quarterly reports while their securities were registered with the Securities and Exchange Commission. The Default Order finds these allegations to be true and revokes the registrations of each class of registered securities of D.G. Jewellery of Canada Ltd. (n/k/a D.G. Jewelry, Inc.), Daine Industries, Inc. (n/k/a Oasis Travel Group, Inc.), Del Cerro Enterprises, Inc., Denstone Minerals Ltd., Diadem Resources Ltd., Digicomm Services, Inc. (f/k/a Nemo Enterprises, Inc.), Digital Courier International Corp., Digital Star Inc., Dimples Group Inc., Dominion Bridge Corp., and DSI Datotech Systems Inc. pursuant to Section 12(j) of the Securities Exchange Act of 1934. In the Matter of Auriga Laboratories, Inc.

On September 14, 2011, an Administrative Law Judge issued an Order Making Findings and Revoking Registrations by Default (Default Order) in Auriga Laboratories, Inc., Admin. Proc. No. 3-14506. The Default Order finds that Respondents failed to comply with Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Exchange Act Rules 13a-1 and 13a-13 because each failed to make periodic filings with the Securities and Exchange Commission for a number of years. Based on these findings, the Default Order, pursuant to Section 12(j) of the Exchange Act, revokes the registration of each class of registered securities of Auriga Laboratories, Inc., Curon Medical, Inc., Goldstate Corp., OneWorld Systems, Inc., and PracticeXpert, Inc. (Rel. 34-65333; File No. 3-14506)

Commission Revokes Registration of Securities of TSI, Inc. for Failure to Make Required Periodic Filings

On September 14, 2011, the Commission revoked the registration of each class of registered securities of TSI, Inc. (TSIA) for failure to make required periodic filings with the Commission.

Without admitting or denying the findings in the Order, except as to jurisdiction, which it admitted, TSIA consented to the entry of an Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 as to TSI, Inc. finding that it had failed to comply with Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of TSIA’s securities pursuant to Section 12(j) of the Exchange Act. This Order settled the charges brought against TSIA in In the Matter of Colorado Wyoming Reserve Co., et al., Administrative Proceeding File No. 3-14508.

Brokers and dealers should be alert to the fact that Exchange Act Section 12(j) provides, in pertinent part, as follows:

No member of a national securities exchange, broker, or dealer shall make use of the mails or any means or instrumentality of interstate commerce to effect any transaction in, or to induce the purchase or sale of, any security the registration of which has been and is suspended or revoked . . . .

Commission Revokes Registration of Securities of Diversified Historic Investors III for Failure to Make Required Periodic Filings

On September 14, 2011, the Commission revoked the registration of each class of registered securities of Diversified Historic Investors III (Diversified III) for failure to make required periodic filings with the Commission.

Without admitting or denying the findings in the Order, except as to jurisdiction, which it admitted, Diversified III consented to the entry of an Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 as to Diversified Historic Investors III finding that it had failed to comply with Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of Diversified III’s securities pursuant to Section 12(j) of the Exchange Act. Tortoise Power and Energy Infrastructure Fund, Inc. and Tortoise Capital Advisors, L.L.C.

An order has been issued on an application filed by Tortoise Power and Energy Infrastructure Fund, Inc. and Tortoise Capital Advisors, L.L.C. under Section 6(c) of the Investment Company Act for an exemption from Section 19(b) of the Act and Rule 19b-1 under the Act. The order permits a registered closed-end management investment company to make periodic distributions of long-term capital gains with respect to its outstanding common stock as frequently as monthly in any taxable year, and as frequently as distributions are specified by or in accordance with the terms of any outstanding preferred stock that such investment company may issue.
